Terms of Service — Illa

1. Introduction
Welcome to Illa ("we," "our," "us," "Illa"). These Terms of Service ("Terms") govern your access to and use of illawell.com (the "Site") and your purchase of any products through the Site. By accessing the Site or placing an order, you agree to be bound by these Terms and all policies referenced below. If you do not agree, please do not use the Site or place an order.
2. Acceptance of Terms
By placing an order on our Site, you confirm that you have read, understood, and agree to these Terms, including our:

Each linked policy is incorporated into these Terms by reference.
3. Eligibility & Age Requirement
Our products and Site are intended for individuals 18 years of age or older. By using the Site or placing an order, you represent that you are at least 18 and legally capable of entering into binding agreements. Illa products are intended solely for use by qualified professionals in appropriate laboratory or research settings, as described in Section 9 below.
4. Account Creation & Guest Checkout
You may check out as a guest or create an account for future convenience. If you create an account, you are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at hello.illawell@gmail.com of any unauthorized use. We are not liable for losses resulting from your failure to protect your account credentials.
5. Orders, Payment & Billing
All orders are subject to acceptance and product availability. Payment is collected at the time you place your order and is processed securely through our third-party payment processor(s) (via Shopify Payments and supported providers, including major credit/debit cards, Apple Pay, Google Pay, and PayPal). We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud or error.
6. Pricing, Availability & Errors
We aim to keep pricing and product descriptions accurate, but errors can occur. If a listing contains a pricing, inventory, or description error, we reserve the right to correct it, cancel or refuse orders placed based on the error, and issue a full refund if payment was already collected and the order is cancelled for this reason.
7. Shipping & Delivery
Orders are processed and shipped according to our Shipping Policy. Delivery estimates are provided by our shipping carriers and may vary. Illa is not responsible for delays caused by carriers, customs, weather, or other events outside our control.
8. Returns & Refunds
Returns, exchanges, and refunds are handled according to our Return and Refund Policy. For damaged, missing, or incorrect items, contact us promptly at hello.illawell@gmail.com with the required evidence as described in that policy.
9. Research Use Only — Important Disclaimer
This section is critical and applies to all purchases made through the Site.
All products sold by Illa are intended exclusively for laboratory research use by qualified professionals. By purchasing from Illa, you acknowledge, understand, and agree that:
- Illa products are not approved by the U.S. Food and Drug Administration (FDA) or any other regulatory body for human or veterinary use, consumption, diagnosis, treatment, cure, or prevention of any disease or condition.
- Illa products are not dietary supplements, foods, drugs, cosmetics, or medical devices, and are not intended, marketed, or sold as such.
- Illa products are not intended for human or animal consumption, ingestion, injection, or administration of any kind, under any circumstance.
- Illa makes no representation or warranty regarding the safety, efficacy, or suitability of any product for any particular purpose, and any information on the Site is provided for general/educational purposes only and is not medical advice.
- You are solely responsible for verifying that your possession, handling, and use of any product complies with applicable laws and regulations in your jurisdiction.
- You will not combine, mix, adulterate, or otherwise prepare any product for administration to, or consumption by, any human or animal.
- You should consult a licensed physician or qualified medical professional before making any health-related decisions, and nothing on this Site is a substitute for professional medical advice.
If you do not understand or agree with this section, do not purchase from Illa.
10. Prohibited Uses & Fraud Prevention
You agree not to use the Site for unlawful or prohibited activities, including but not limited to:
- fraudulent transactions, identity theft, or other illegal activity;
- transmitting malware, viruses, or other harmful code;
- attempting unauthorized access to other accounts or systems;
- scraping, harvesting, or collecting data without permission;
- harassment, impersonation, or misuse of our services; or
- purchasing products for resale, repackaging, or use inconsistent with Section 9 above.
If we detect suspicious activity or potential fraud, we may hold, delay, or cancel an order and request additional verification before proceeding.
11. Intellectual Property
All content on the Site — including text, images, logos, trademarks, product descriptions, and designs — is the property of Illa or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our express written permission.
12. Limitation of Liability
To the maximum extent permitted by law, Illa and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of the Site or any product, including any damages arising from misuse of a product contrary to Section 9. Our total aggregate liability for any claim related to a purchase is limited to the purchase price of the order in question.
